Abstract
As cross-border transactions become more common, special complexities make the resolution of purchase price adjustments ever more difficult. The authors discuss purchase price adjustment provisions for the U.S., the U.K., and Germany, and review customs and practices in all three regions. Suggestions are offered to deal with the difficult issues involved when purchasing or selling assets from one country to another.
